Our client is seeking a full-time Paralegal to join our Corporate Practice Group in the Atlanta, Kansas City, or New York office, with consideration for other locations on a case-by-case basis. This role involves supporting corporate transactions and regulatory compliance, reporting to the Senior Practice Director while collaborating closely with assigned attorneys.

Key Responsibilities

  • Support attorneys through all phases of corporate transactions.
  • Prepare and manage documentation to meet federal, state, and local regulatory requirements.
  • Conduct due diligence reviews and coordinate transaction closings.
  • Manage signature page packages, closing checklists, and post-closing deliverables.
  • Prepare and file corporate and securities documents, including Form D and blue sky filings.
  • Draft, review, and file UCC financing statements.
  • Order and evaluate UCC, lien, litigation, and similar searches.
  • Handle entity formation, ongoing maintenance, and related filings.
  • Assemble officer certificates, resolutions, and organizational documents for transactions.
  • Conduct legal research, draft reports, and manage required filings for special assignments.
  • Collaborate with clients and external parties on transactional matters.
  • Perform other tasks as needed to support the practice group’s operations.

Compensation

For candidates based in New York, the salary range is $100,000 - $130,000, commensurate with experience. The position offers a competitive benefits package, including:

Qualifications

  • Bachelor’s degree required.

  • Demonstrated ability to maintain confidentiality and handle sensitive matters.
  • Proficiency in Microsoft Office Suite and PDF tools; ability to quickly learn new software.
  • Flexibility to work overtime when necessary.
