Position Title: Corporate M&A / Private Equity M&A Mid-Level Associate
Locations: Nashville, TN or Dallas, TX

Position Overview:
Our client, a leading AmLaw 100 national law firm, is seeking a skilled and proactive mid-level associate to join their Corporate M&A or Private Equity M&A team in either Nashville or Dallas. This role is crucial for managing and executing various aspects of mergers and acquisitions, including due diligence, transactional documentation, and client interactions.

Key Responsibilities:

  • Due Diligence: Conduct and oversee comprehensive due diligence processes for transactions.
  • Transactional Documents: Draft, review, and negotiate key transactional documents related to mergers, acquisitions, and private equity deals.
  • M&A Process Management: Manage the overall M&A process, ensuring effective coordination and execution of transaction phases.
  • Client and Shareholder Interaction: Work directly with shareholders, clients, and other stakeholders to facilitate smooth transaction outcomes.

Qualifications:

  • Experience:
    • Minimum of 3 years of experience in business and transactional law, including M&A, recapitalizations, joint ventures, and other complex transactions.
  • Skills:
    • Strong academic credentials, with prior law firm experience.
    • Excellent writing, drafting, and communication skills.
    • Familiarity with M&A supporting technologies (e.g., Kira) is preferred.
  • Education:
    • Juris Doctor (JD) degree required.
