We are seeking an experienced Transactional Banking and Finance Attorney to join our Corporate and Finance practice group. This role involves working collaboratively across multiple office locations, including New York City, Buffalo, Albany, Rochester, Toronto, and Palm Beach. The ideal candidate will have a strong background in commercial finance transactions and a proactive approach to client development.
Key Responsibilities
- Represent lenders, borrowers, sponsors, and institutional investors in various commercial finance transactions.
- Handle asset-based finance, cash flow finance, senior, mezzanine, and subordinated finance, as well as leveraged and acquisition finance.
- Assist clients in structured finance, private credit, and direct lending transactions.
- Draft, review, and negotiate essential finance-related legal documents, including loan agreements, inter-creditor agreements, and opinion letters.
- Collaborate with other practice areas to provide comprehensive legal solutions to clients.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Licensed to practice law in at least one of the following jurisdictions: NY, FL, or ON (or eligible for admission).
- Minimum of 10 years of experience in commercial finance law.
- Proven expertise in negotiating, structuring, and documenting secured and unsecured financing transactions.
- In-depth knowledge of commercial mortgage transactions, leveraged acquisitions, asset-based finance, and cross-border finance.
- Experience working with a wide range of financial institutions, including multistate and community banks, non-traditional lenders, and servicers.
- Strong drafting, negotiation, and legal analysis skills.
- Excellent communication and interpersonal abilities for client interaction and team collaboration.
- Ability to manage multiple complex transactions in a fast-paced environment.
Compensation & Benefits
- Salary Range: $175,000 – $450,000, depending on experience and qualifications.
